The Corporate/Transactional Practice Group is supervised by Joseph F. Behot, Jr. We serve as general counsel to a variety of New Jersey corporations, and as New Jersey Counsel for several national corporations.

Corporate. As General Counsel, we work with management in corporate planning and contract negotiations. When subject to government regulation, we advise on compliance programs to avoid violations, and defend when violations occur. Contract services include employment agreements, mergers and acquisitions, financing of real and personal property, shareholder agreements, partnership agreements, leases and all other contractual matters.

Banking and Finance. We represent several major banks with regard to loan and financing agreements. We also represent corporate clients in obtaining financing. Our experience includes private placements and other forms of equity financing.

Mergers and Acquisitions. Our experience includes mergers of privately held companies with other privately held corporations as well as publicly traded corporations. We have handled matters as small as $4,000,000 and as large as $125,000,000. Our involvement includes assisting management during the negotiation phase and drafting of all appropriate documents.

Real Estate Development. Our firm represents a variety of local, regional and national developers. We have expertise in negotiating land acquisition, obtaining all land-use approvals, financing, and project construction. We also continue to represent our clients post-construction in the leasing of properties. Our representation includes development of residential, commercial and industrial projects.
